RR. Donnelley & Sons Company is looking for an experienced contracts attorney to join our team!


The contracts attorney will be responsible for leading complex client contract negotiations, and for providing strategic legal advice and counsel to RRD management on various legal topics. The position requires strong organizational skills and a willingness to work as part of an integrated legal and business team and working effectively with internal and external clients. A candidate should have experience in a work environment characterized by a proactive approach to legal and business risk issues, with a hands-on style. The ideal attorney in this role will handle the structuring, drafting, negotiation and analysis of agreements for the acquisition of global and domestic technology products and services, including but not limited to intellectual property licenses, outsourcing, software license/support, development and SaaS agreements.


The successful candidate will also possess the following key competencies:


Legal Capabilities: The ideal candidate will possess a proven track record of leading all aspects of drafting and negotiating complex contracts including software licensing/support, software as a service, outsourcing, cloud, consulting, professional and other services agreements. The candidate should have experience with U.S. and international privacy regulations, familiarity with the healthcare industry (CMS) in support of RRD’s healthcare clients and/or information technology and data processing contracts.

Technical Capabilities: Familiarity with intellectual property, cybersecurity, technology controls, information security, data privacy and protection, data management outsourcing, data protection, information security, and related regulatory and risk environments.

Business Acumen: This position requires a business-minded, results-focused legal practitioner. The successful candidate must demonstrate broad business judgment and a willingness to understand the business strategy and objectives related to the organization and transactions he/she is supporting. This will require a proactive and solution-oriented approach that prevents problems from occurring and identifies and takes advantage of opportunities to improve business performance.


Influencing Skills: The candidate needs to be self-confident and mature enough to operate with a minimum amount of direct supervision, gain the trust of the senior executive team, and yet still ensure that the broader corporate objectives are actively pursued and accurately being represented to senior corporate management. A very adept communicator both in one-on-one and group settings, this individual should also possess well-developed listening skills and the ability to effectively communicate with sales and other business (non-legal) professionals in a corporate environment.

He/she will put broad business objectives before personal or local goals and will be a team player with an open leadership style.   • The ideal candidate will be a results-driven, energetic, mature, hands-on attorney with a “roll up your sleeves” attitude who possesses excellent communication skills and an ability to engage strategically in risk assessment/mitigation and develop innovative approaches to legal issues in support of business objectives. He/she will bring a practical, business-oriented approach to all interactions with senior leadership, C-suite, and external parties.

Required Experience
  • Strong academic credentials, including a law degree and membership in good standing in at least one state bar.
  • Minimum of 5 years of legal experience in a law firm or corporate environment, including experience leading corporate transactions and governance and drafting and negotiating complex agreements.

The national pay range for this role is $94400- $190600/ year. The pay range may be slightly lower or higher based on the geographic location of the hired employee. The actual pay offered may vary based upon, but not limited to: education, skills, experience, proficiency, performance, shift and location. In addition to base salary, depending on the role, the total compensation package may also include participation in a bonus, commission or incentive program.
