Mission
Waséyabek Development Company, LLC (WDC) is a legal entity, created and wholly owned by the Nottawaseppi Huron Band of the Potawatomi (NHBP), a federally recognized Indian Tribe. Position Summary
The Associate Attorney will support the Chief Executive Officer and the Chief Legal Officer or Special Counsel with general corporate matters at the WDC holding company level and with WDC’s portfolio business and real property holdings to manage legal risk within the company in a myriad of activities related to general corporate governance, business formation, contract review and negotiation, real estate, and business asset/equity acquisitions.
Responsibilities:

  • Conduct research, review, analysis, drafting and approval of various corporate documents, contracts, policies & procedures for WDC and its portfolio companies
  • Assist with development and oversight of corporate governance documents and practices
  • Draft, review and advise on new and existing commercial contracts for WDC and portfolio companies including NDA’s, employment agreements, counterparty and vendor contracts, etc.
  • Acting as “general counsel” for portfolio company legal matters as requested
  • Review acquisition documents, due diligence evaluation materials, entity formation and post-acquisition transition plans and procedures
  • Collaborate with internal business teams and outside counsel regarding transactions, compliance and regulatory matters
  • In collaboration with the Company’s Compliance Department, review and testing of the Company’s compliance policies and procedures and assisting in the development of new policies/refining existing policies as necessary

  • Able to quickly adapt/adjust focus, and problem solve within evolving work demands.
  • Ability to adjust schedule to meet quickly developing needs of supervisor and other team members.
  • Support business development, operations and other internal teams with regulatory, transaction structuring and legal document review as it relates to management of legal risk throughout the Company
  • Assisting with various human resources/employment-related and benefits matters as required.
  • Monitor areas of legal and regulatory focus, industry developments and best practices related to Company initiatives or strategic plans
  • Provide timely legal advice/counsel to, and draft legal opinions for WDC and subsidiary company leadership
  • Prepares legal memoranda and conducts legal research as directed
  • Works with Department Leaders to create policies/procedures and compose resolutions
  • Research legal questions as requested or presented by other attorneys within the Legal Department
  • Prepare, review and/or assist with contract negotiations
  • Prepare, review and/or negotiate subcontracts
  • Support the federal contract proposal review and drafting process, including risk mitigation and performance gap review of RFPs
  • Maintains current, accurate and complete records as required by federal, state and all regulatory agencies.
  • Other duties as assigned

Risk Management

  • Ensure confidentiality of Legal department and all WDC and subsidiary business matters
  • Requires considerable discretion, judgment, tact and diplomacy as well as practical knowledge of company policies and practices

Communication

  • Effectively and regularly communicate with the CEO and staff members
  • Support NHBP and WDC’s values, principles, vision, mission
  • Utilize effective communication skills to answer inquiries from coworkers, clients, or the public
  • Support involvement may include producing reports, presentations, and other visual material

Strategic Planning

  • Assist with the development of short and long-term organizational goals
  • Contribute to the development of the WDC’s vision and mission

Leadership

  • Foster a company culture that promotes ethical practices and social responsibility; encourages individual integrity and maintains a positive and ethical work climate that is conducive to attracting, retaining and motivating top-quality employees at all levels

Minimum Qualifications, Knowledge, Skills, and Abilities:

  • An applicant must demonstrate that she/he possesses the knowledge, abilities, judgment and character sufficient to demonstrate that he/she is likely to be capable of successfully performing each of the “Essential Functions” described.
  • Juris doctor degree (J.D.) from accredited law school and not less than 3 years of general corporate legal experience, including meaningful experience assisting in developing corporate compliance procedures and forms.
  • Member in good standing of the State Bar of Michigan.
  • Demonstrated ability to write effectively and present research, analysis and conclusions in a persuasive manner, and build relationships with professionals at all levels in the organization
  • Excellent interpersonal and communication skills, in person or remote meetings
  • Self-starter with organizational, time management, attention to detail and follow up skills; ability to manage competing priorities and assignments
  • Strong attention to detail and the proven ability to manage competing priorities effectively
  • Strong work ethic with excellent written and verbal communications
  • Comfort with reading, ingesting and summarizing business contracts is necessary as a core skill
  • Ability to exercise good judgment in a variety of situations
  • Ability to maintain confidentiality and handle confidential material with discretion
  • Proficient in Microsoft office suite including Word, Excel, PowerPoint and Adobe
  • Advanced written and verbal communication skills
  • Highly resourceful team-player, with the ability to also be extremely effective independently
  • Demonstrated ability to achieve high performance goals and meet deadlines in a fast-paced environment
  • Must be a good fit for company and culture
  • Ability to pass a pre-employment drug screen
  • Ability to pass a background investigation, including but not limited to nationwide criminal record search, and other relevant background information deemed necessary by WDC
  • Perform other duties / special projects as required

Preferred Qualifications

  • Knowledge of and experience with tribal, local, state government, and federal laws pertaining to Indian tribes
  • Knowledge and experience with SBA 8(a) business development program and federal contracting requirements (i.e., Federal Acquisition Regulations)
