Duties
- Assists with analyzing, structuring, drafting and negotiating documentation for, complex corporate transactions, such as marketing and sales of loans and other financial instruments; commercial real estate purchases and sales, acquisition, development, construction and finance; mergers and acquisitions of businesses; joint ventures and other structured transactions; mortgage servicing sales; secured lending transactions for assets other than real property; or transactions involving, options, warrants or other derivatives.
- Assists with the conduct and oversight of legal negotiations of settlements or other resolutions of complex contractual disputes, claims or liabilities, and provides legal advice and other related legal assistance, including preparing or assisting with the drafting of documentation regarding the same.
- Assists with the negotiation and consummation of extremely complex settlements, workouts and restructuring agreements that arise from the liquidation of failed financial institutions. Typically, these negotiations involve legal cases or matters of such scope and complexity that they encompass the most difficult legal matters or issues addressed by the legal section.
- Serves as a subject matter expert in one or more of the following subject matters or practice areas (or such other areas in which attorneys in the Section may need to be proficient): (i) complex real estate law and law relating to the acquisition, sale, development and construction of real property; (ii) complex commercial and secured lending law; (iii) affordable housing law and transactions; (iv) general contract law; (v) law governing lending and lenders; (vi) mortgage servicing, including Fannie Mae, Freddie Mac and Ginnie Mae mortgage origination and servicing requirements; or (vii) complex environmental law and transactions.

Qualifications
Qualifying experience may be obtained in the private or public sector. Experience refers to paid and unpaid experience, including volunteer work done through National Service programs (e.g., Peace Corps, AmeriCorps) and other organizations (e.g., professional; philanthropic, religious/spiritual; community; student, social). Volunteer work helps build critical competencies, knowledge, and skills and can provide valuable training and experience that translates directly to paid employment. To qualify, applicants must have completed at least one year of specialized experience equivalent to at least the CG/GS-13 grade level or above in the Federal service. Specialized experience is defined as experience serving as a transactional attorney that has assisted with analyzing, structuring, drafting and negotiating documentation in connection with asset-related transactions related to: (1) commercial and residential real estate; 2) loan sales and loan compromises and settlements; and 3) at least one more of the following areas: (i) construction development and finance, (ii) joint ventures, or (iii) mortgage servicing agreements.
J.D. or LL.B Degree required.

- Ability to deal with others and to coordinate the work of attorneys, paralegals, and other staff.
- Ability to communicate instructions, directives, and briefings for implementing procedures and for presenting recommendations and conclusions to senior officials.
- Skill in structuring, drafting, negotiating and closing corporate transactions, analyzing or interpreting existing transaction structures, obligations, liabilities and contract compliance, and resolving informal contract disputes.
- Ability to interpret and provide legal advice on issues arising under the laws governing the FDIC as deposit insurer, as supervisor of insured depository institutions or when resolving failing or failed IDIs and related entities, including statutes, regulations and common law governing IDIs and related entities (i.e., the Federal Deposit Insurance Act and the Dodd-Frank Wall Street Reform and Consumer Protection Act), housing (i.e., the National Housing Act), lending or consumer protection (i.e., Truth-in-Lending Act), securities issuance and sales.
