The Associate Counsel – Projects & Procurement will report to the Managing Counsel – Business Development & Corporate Transactions and will work with colleagues in a large law department of a publicly traded, Fortune 100 international energy company.
Responsibilities include:
Providing legal advice and service to business units in connection with commercial transactional matters.
Drafting, negotiating and reviewing master agreements as well as General Terms and Conditions (GTCs) for various energy commodities and goods or services as needed.
Interfacing with the company’s commodity contract administration department.
Drafting and revising documents associated with commercial transactions, including non-disclosure agreements and various clauses for indemnity agreements, termination, confidentiality, choice of law/jurisdiction, and force majeure.
Developing and managing form contracts or clauses to execute any and all commercial transactions.
Assisting the company’s Regulatory Counsel, as needed, with regulatory inquiries and projects.
Required:
Legally authorized to work in the U.S. on a regular, full-time basis with no restrictions.
J.D. from a law school accredited by the American Bar Association.
A member in good standing of any U.S. bar.
Minimum 3 years of experience with contracts and/or commercial transactions.
Preferred:
Knowledge and experience in the negotiation of GTCs or commercial/master agreements used in the energy industry (e.g. NAESB, LEAP).
General knowledge of commercial contract law, terminology and clauses associated with commercial transactions, marketing/sales agreements, commodities trading regulations, and other areas of law associated with commercial transactional work.
Experience with contract review as part of M&A due diligence, litigation support and other contract interpretation activities.
Superior negotiation, presentation, collaboration and diplomacy skills with excellent judgment and discretion.
Ability to manage and prioritize assignments effectively, which are broad in scope and complexity and which involve collaborative work with highly experienced lawyers, as well as employees in different departments with varying degrees of seniority.
Excellent written and oral communication skills.
Ability to work well under pressure, meet deadlines and function independently without extensive supervision.
Ability to learn quickly and apply company policies, procedures and industry practices.
Strong individual initiative, discipline and commitment to superior performance, customer service and continuous improvement.
Experience in oil & gas, refining, energy or petrochemical industries a plus.
