Supporting and managing (i) the contract life-cycle process (from the early negotiation stage through expiration and transition-out) with primarily respect to suppliers and overhead vendors; (ii) claims and litigation support; and (iii) special projects.

*This position will be virtual, however the candidate must be able to work in one of our offices, as needed. The office locations are Oakbrook Terrace, IL, Independence, OH, or Ft. Wayne, IN.

  • Provide guidance and explanation of contract terms to managers
  • Provide backup for other legal support roles as needed
  • Assist in developing training and facilitate training for legal issues affecting various departments within SIRVA BGRS
  • Ad hoc projects as needed
  • Must have a strong understanding of (i) the contract issues and requirements of departments throughout the organization and (ii) service offerings and be able to address those requirements and document agreed services in written contract documents. Must be able to articulate positions on contract terms to internal and external stakeholders.
  • Participate with attorneys and internal stakeholders in Business Development, Client Services, Supply Chain Management, Finance, Pricing, Treasury and Implementation to formulate negotiating position at the outset of a new engagement or as part of an RFP process.
  • Demonstrate understanding of the complexities of the RFP and engagements processes in order to identify potential risks and recommend appropriate recommendations and solutions.
  • Draft, review and negotiate a variety of documents (in addition to master contracts) including Non-Disclosure Agreements, Contract Amendments, Assignment Agreements, Local Implementation Agreements and Tri-Party Agreements.
  • Manage internal approval process to finalize position on contract terms.
  • Monitor revision process to prevent inclusion of unapproved contract terms.
  • Identify and draft language to address key contract issues; e.g., pricing, service scope, funding type, data privacy.
  • Identify appropriate internal personnel with signing authority and oversee signing/execution process on all contracts; internal and external.
  • Respond to requests for interpretation of provisions in existing contracts.
  • Participate in the training and guidance of BGRS associates in the contracting process and issues arising therein.
  • Abstract and summarize terms as needed of contracts for quick identification by internal stakeholders at all levels of the organization.
  • Run and analyze reports from contract database. Identify trends to provide potential recommendations or flag possible risks.
  • Liaise with internal clients, in-house attorneys, retained counsel, adversaries and other third parties in all aspects of claims and litigation involving SIRVA BGRS
  • Assist in investigating claims made by or against the company
  • Keep abreast of new laws and industry standards.
  • Provide ad-hoc research under direction of team leadership.

MINIMUM JOB REQUIREMENTS
·Undergraduate degree from an accredited academic institution.
·Paralegal certificate from an ABA accredited paralegal studies program or willingness to obtain. OR
·Minimum 3+ years of corporate work experience in contract review and management.
·Relocation, real estate leasing, IT licensing and/or procurement experience preferred.
·Exceptional communication skills required (verbal and written)
·An effective problem solver with the ability to deliver results in a consultative and collaborative manner.
·Exposure to contract issues or legal issues is an advantage.
